These Terms of Service ("Terms") govern your access to and use of our website vitalis-ventures.net and our SaaS products including Kalyptos, MusicForge AI, and TabForge AI (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use our Services.
To access certain features of our Services, you may be required to create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate. You are responsible for safeguarding your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.
Our Services are offered on a subscription basis with various pricing tiers. All payments are processed securely through Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis. Prices are subject to change with 30 days notice. All fees are stated in US dollars unless otherwise noted. You are responsible for all applicable taxes.
You may cancel your subscription at any time through your account settings or by contacting us at info@vitalis-ventures.net. Cancellation will take effect at the end of your current billing period. We offer a 14-day money-back guarantee for new subscriptions. If you are not satisfied with our Services within the first 14 days of your initial subscription, you may request a full refund. Refund requests after the 14-day period will be evaluated on a case-by-case basis. To request a refund, please contact our support team at info@vitalis-ventures.net. Refunds are processed through the original payment method via Stripe and may take 5 to 10 business days to appear on your statement.
You agree not to use our Services for any unlawful purpose or in any way that could damage, disable, or impair our Services. You agree not to attempt to gain unauthorized access to any part of the Services, other accounts, or computer systems connected to the Services. You agree not to interfere with or disrupt the Services or servers. You agree not to use any automated means to access the Services without our express written permission.
All content, features, and functionality of our Services, including but not limited to text, graphics, logos, icons, images, audio, video, software, and the compilation thereof, are the exclusive property of Vitalis Ventures LLC and are protected by intellectual property laws. You may not reproduce, distribute, modify, or create derivative works of any part of our Services without our prior written consent.
To the fullest extent permitted by law, Vitalis Ventures LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or use, arising out of or related to your use of the Services. Our total liability for any claim arising out of these Terms shall not exceed the amount you have paid to us in the twelve months preceding the claim.
We may terminate or suspend your account and access to the Services immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties. Upon termination, your right to use the Services will immediately cease.
These Terms shall be governed by and construed in accordance with the laws of the State of Georgia, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts of Augusta, Georgia.
We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the effective date. Your continued use of the Services after any such changes constitutes your acceptance of the new Terms.
